STANDARD TERMS AND CONDITIONS OF SALE

Stream Lean Industry 4.0

(Odoo Official Partner – Canada & Morocco)

1. Definitions

  • “Stream Lean”, “we”, “our”, or “us” refers to Stream Lean Industry 4.0.
  • “Client”, “you”, or “your” refers to the individual or legal entity purchasing services from us.
  • “Agreement” refers to these Terms and Conditions.
  • “Odoo” refers to the Odoo ERP system provided by Odoo S.A.

2. Scope of Services

Stream Lean provides:

  • Functional and technical consulting on Odoo (Enterprise versions)
  • Implementation, customization, and support services
  • Odoo training and change management
  • Integration with third-party platforms
  • Hosting and maintenance support (where agreed)

3. Engagement Process

  • All services are subject to a signed service agreement or work order.
  • Initial scoping and needs assessment may be billed separately.
  • Work begins upon client’s written approval and/or payment of a deposit.

4. Fees and Payment Terms

  • All fees are quoted in CAD (for Canada) or MAD (for Morocco), unless otherwise agreed.
  • Invoices are issued based on milestones, time-and-materials, or monthly retainers.
  • Payment is due within 15 days of invoice date.
  • Late payments are subject to a 2% monthly interest charge.

5. Odoo Licensing

  • Clients using Odoo Enterprise must subscribe directly through Odoo S.A. or via Stream Lean as a reseller.
  • Stream Lean does not assume liability for Odoo licensing terms or restrictions set by Odoo S.A.

6. Intellectual Property

  • Custom developments made during the engagement are the property of the client, unless otherwise specified.
  • Stream Lean retains the right to reuse generic code not specific to the client’s business.

7. Confidentiality

  • Both parties agree to maintain the confidentiality of all proprietary information exchanged during the project.
  • NDAs may be signed upon request.

8. Warranties and Limitations

  • Stream Lean will perform services with reasonable skill and care.
  • We do not guarantee that the Odoo software will be error-free or meet all of the client’s expectations unless explicitly specified.
  • Our liability is limited to the amount paid by the client in the 3 months preceding any claim.

9. Client Responsibilities

  • Provide timely access to necessary data, staff, and resources.
  • Ensure appropriate internal testing and validation before go-live.
  • Assign a project point of contact.

10. Termination

  • Either party may terminate the agreement with 30 days’ written notice.
  • Stream Lean reserves the right to suspend services in case of non-payment.

11. Jurisdiction and Applicable Law

  • For clients based in Canada, this Agreement is governed by the laws of the Province of Ontario.
  • For clients based in Morocco, this Agreement is governed by Moroccan commercial law.
  • Any dispute shall be subject to the competent courts in Toronto (Canada) or Casablanca (Morocco), depending on the client’s location.

12. Force Majeure

  • Neither party shall be liable for any delay or failure in performance due to events beyond its control (e.g., natural disasters, acts of government, internet outages, etc.).

13. Amendments

  • Stream Lean reserves the right to update these Terms and Conditions at any time, with prior notice.
